Mariana is a collaborator of ADR. She mainly deals with corporate criminal law, the management of corporate compliance programs, and national and international contracts. In 2017 she qualified as a lawyer in Italy and she is registered with the Bar Council of Macerata.

EDUCATION

She was born in 1989. After having graduated at “Leonardo Da Vinci” Scientific High School in Civitanova Marche, in 2014 she graduated in Law at the University of Macerata.

In 2017 she attended the two-year course for training in the exercise of the criminal defense function, organized by the Criminal Chamber of Modena. In 2019 she attended the legal English course EFLIT – English for Law & International Transactions, Postgraduate education in Legal & business English for Italian graduates, lawyers, accountants, at the University of Parma. In 2021 she obtained the Master Degree in International Contracts at Sharecom Academy in Padua. She speaks Italian, English and Spanish.

WORK EXPERIENCE

She has been collaborating with ADR s.r.l. since January 2020. She underwent legal training at the Provincial Administration Bar in Ancona, continuing her legal training at Tuccari Law Firm in Parma, working with lawyers specializing in criminal law.

In 2018 she carried out a work experience abroad at Lleytons Law Firm in Valencia, in order to deepen the branch of international law and business contracts.

  • Assists the legal representatives of companies in the adoption, development, and constant updating of an organization, management, and control model capable of excluding corporate criminal liability pursuant to Legislative Decree 231/2001.
  • Provides consulting and support to client companies in drafting and updating corporate protocols, policies, procedures, and internal guidelines for the prevention of crimes under Legislative Decree 231/2001, as well as in control and monitoring activities carried out by external and internal Supervisory Bodies.
  • Provides assistance to companies in implementing whistleblowing systems compliant with the new regulations, specifically: (i) analyzing the existing Whistleblowing System (or, in any case, active reporting channels) in light of the provisions of Legislative Decree 24/2023 to define the necessary requirements for updating/adopting a system in compliance with current legislation; (ii) drafting policies, procedures, and regulations for managing reports.
  • Assists the legal representatives of companies in managing the internal system of powers of attorney and delegations, as well as in creating annual procedures for verifying the actions of appointed executives to exclude liability for negligent supervision.
  • Provides consulting and assistance to companies in drafting and implementing Antitrust Compliance and Privacy Compliance Programs.
  • Provides consulting and assistance to companies by supporting them: (i) in drafting Corruption Prevention Measures integrated into Models under Legislative Decree 231/2001, as required by Law 190/2012; (ii) in fulfilling obligations set by the National Anti-Corruption Authority in compliance with corruption prevention regulations (Law 190/2012 and subsequent amendments) and integrity and transparency requirements (Legislative Decree 33/2003 and subsequent amendments).
  • Provides assistance to companies in obtaining and maintaining the Legality Rating, including acquiring corporate self-certifications, implementing corporate protocols, adhering to local and national Legality Protocols, developing Codes of Ethics and Conduct Guidelines, ensuring compliance with Corporate Social Responsibility principles, and designing Anti-Corruption Models.
  • Assists Client Companies in drafting international agreements, as well as in preparing letters of credit and performance bonds. She has gained extensive experience in drafting and reviewing both standard and non-standard contracts, international contracts for the sale of goods, general terms and conditions of sale, privacy policies, terms of use, and cookie policies in distance contracts (e-commerce), as well as regulations for prize operations and contests.
  • Provides legal advice and assistance to companies and individuals in the drafting, negotiating, and reviewing of both national and international contracts, as well as various types of agreements.
  • Supports companies operating in global markets in managing commercial relationships, preventing potential disputes, and resolving any conflicts in the pre-litigation phase.
