It offers continuous support in managing negotiations with counterparties, handling commercial relationships, preventing potential disputes, and resolving any conflicts that may arise.

The extensive experience of ADR’s collaborators in this area of law allows for the creation of a contractual framework aligned with the Client’s core business and enables the development of “advanced” contractual formulas, up to the elaboration of fully tailor-made solutions.

Below are the main activities carried out by ADR in the field of Contract Law for the Client:

  • Identification of the most suitable contractual format for the Client’s needs, following an analysis of the Client’s requests, the context in which it intends to operate, and the purpose of the contractual relationship to be established and/or already established.

  • Drafting and reviewing business contracts (joint ventures, agency agreements, business procurement, franchising, distribution, licensing, contracting and subcontracting, supply and sub-supply, sale and purchase agreements, leasing, rental, loan for use, logistics, service agreements, general terms and conditions of sale and purchase, etc.).

  • ADR has gained significant experience in reviewing B2B contracts and drafting specific clauses in compliance with antitrust rules and, more generally, with the relevant European regulations.

  • Conducting negotiations and discussions preceding the drafting and signing of the contract.

  • Managing the execution phase and follow-up of the individual contract or the contractual framework as a whole.

  • Managing the “pathological” phase of the contractual relationship (contract interpretation, any disputes, defaults, withdrawal or termination).

  • ADR has also gained significant expertise in drafting, reviewing, and revising international contracts, as well as in structuring specific clauses to protect the Client, such as the applicable law, the jurisdiction clause (choice of arbitration clause or competent court), boilerplate clauses, INCOTERMS, and legal instruments for payment protection (e.g., letters of credit, performance bonds, etc.).
